HRUG’s Constitution

1. The name of the association shall be the Harlow Rail Users’ Group

2. The object of the association shall be to secure better rail and rail related facilities for passengers using the stations at Harlow Town and Harlow Mill.

3. Membership shall be open to all railway travellers using either of the two stations.

4. An annual general meeting shall be held in each calendar year, at which the officers and other committee members shall be elected and a statement of the association’s financial position shall be presented.

5. A special general meeting shall be convened by the secretary on the direction of the committee or as soon as practicable after receipt of a written request to that effect from whichever is the lower of 50% of the members or 50 members.

6. Reasonable notice of general meetings shall be given. Only members who have paid a subscription covering the current and/or the preceding year may vote at a general meeting. Resolutions at general meetings may be carried by a majority of the valid votes cast, except in the case of amendments to this constitution which require at least two thirds of the valid votes cast.

7. The business of the association between general meetings shall be conducted by a committee comprising the officers (chairman, treasurer and secretary) and other committee members. Between annual general meetings any officer or other committee member may resign by written notice to the secretary and the committee shall have the power to co-opt additional members and to fill a vacancy for an officer.

8. The annual subscription, to be determined by the committee, shall cover

the calendar year, except that the first subscription of any member joining the association in November or December shall cover the period to the end of the following calendar year. Subscriptions may be paid in advance for such periods and at such rates as the committee may determine.

9. Cheques and similar orders shall be signed by any two of the following: chairman, treasurer or secretary.

10. The accounts of the association for each calendar year shall be published before the next annual general meeting.

11. The process of winding up the association shall be instituted only if a resolution to this effect is carried by a majority of at least two thirds of the valid votes cast at an AGM or SGM.
